Subject of the Contract

1. On the basis of this licence, CUNI

(the ‘Licensee’) to be used, including for commercial purposes, a web application including a program interface (API) and/or a user interface in the domain https://lindat.mff.cuni.cz/ as listed in the e-services list available on https://lindat.mff.cuni.cz/en/services), as an electronically provided cross-border service under the Author’s Rights (Copyright) Act of the Czech Republic no. 121/2000 Coll., as amended, under the conditions specified in this Agreement. The service will be used exclusively from that list of IP addresses:

2. CUNI under this Licence provides access to the service without any guarantees of quality, speed, availability and/or duration of service provision. The CUNI is not liable for any damage caused by the use of the service to the Licensee. Technical assistance is available by emailing lindat-help@ufal.mff.cuni.cz.
3. CUNI stipulates that the Licensee is obliged to use the licence. If the Licensee does not make use of the licence within one year after the date it was granted, the licence shall automatically be cancelled.
4. CUNI provides the licence as non-exclusive and for a fixed-term fee with a duration of 1 year from the date of validity of the Licence Agreement.

Financial Terms and Invoicing

1. The processing unit (“Unit”) is defined as one character defined by the Unicode Normalization Form C (NFC). “Text” is the part of the input on which the service operates its core language technology function. Administrative and bookkeeping information is not accounted for.
2. For each processed Unit, CUNI is entitled to the following fees:
   1. Less then 300,000 Units per months – CZK 0,- ;
   2. 300,000 to 3,000,000 Units per month – CZK 300 + CZK 5 for each (full or partial) 5,000 Units over 300,000;
   3. over 3,000,000 Units per month – CZK 3,000 + CZK 25 for each (full or partial) 50,000 Units over 3,000,000.
3. An “Accounting Period” is defined as min. one calendar month. CUIP will invoice the Licensee each Accounting Period. It is the responsibility of the Licensee that the amount credited to the CUIP account designated on the invoice is exactly the CZK amount as invoiced, including any applicable taxes.

Other

1. Conditions not set forth in this Licence Agreement are described in the „Terms of Use“, included here by reference from https://lindat.mff.cuni.cz/en/terms-of-use. In case of a conflict, this Licence Agreement prevails.
2. CUNI is entitled to cancel this Licence Agreement anytime, with a six-monhts notice.
3. This Licence Agreement is driven by the laws of the Czech Republic and falls under its jurisdiction.
